Welcome to Kouloo.

These Terms and Conditions of Use (the “Terms”) govern your access to and use of the Kouloo mobile application, our website, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you acknowledge that you have read and understood these Terms and agree to comply with them.

If you do not agree to these Terms, you must not create an account or use the Service.


1. About Kouloo

Kouloo is a service designed to help parents and authorized individuals coordinate their arrival with the preparation of their child at their childcare service.

Depending on the features available, Kouloo may allow users to:

  • select a mode of transportation;
  • use location information to estimate an arrival time;
  • take traffic conditions into account;
  • coordinate the arrival of a parent or authorized person with the childcare service;
  • notify the childcare service when a user approaches a designated preparation or pickup area; and
  • receive notifications related to the operation of the Service.

Available features may vary depending on the application version, account type, childcare service, and features enabled.

2. Eligibility

Kouloo is primarily intended for adults, including parents, guardians, and individuals authorized to pick up a child.

You must:

  • be of the legal age required to enter into a contract in your jurisdiction; or
  • use the Service with the authorization and under the responsibility of a parent or legal guardian where permitted by law.

You must not use Kouloo if you are not legally authorized to use the Service.

Kouloo does not allow children under 14 years of age to create their own accounts.

3. Acceptance of the Terms

By creating an account or using the Service, you agree to these Terms and to the policies and documents incorporated into them by reference.

Our Privacy & Cookies Policy explains how we collect, use, disclose, retain, and protect Personal Information.

The Privacy & Cookies Policy forms part of our overall contractual framework, but it does not replace any consent requirements applicable to the processing of Personal Information.

5. Account Creation and Management

Certain Kouloo features require you to create an account.

When creating an account, you agree to:

  • provide accurate, complete, and current information;
  • keep your information up to date;
  • protect your login credentials;
  • not share your account with an unauthorized person; and
  • promptly notify us of any unauthorized use or security breach involving your account.

You are responsible for activities carried out through your account, except where unauthorized use results from circumstances for which you are not reasonably responsible.

We may request certain information to verify your identity, your relationship with a child, or your authorization to use certain features.

6. Acceptable Use

You agree to use Kouloo only for lawful purposes and in accordance with these Terms.

You must not:

  • knowingly provide false or misleading information;
  • use another person’s account without authorization;
  • attempt to access accounts, systems, or data that you are not authorized to access;
  • bypass or interfere with security measures;
  • use the Service for fraudulent, abusive, or unlawful purposes;
  • interfere with the operation of the Service;
  • introduce viruses, malware, or other harmful material;
  • reverse engineer, decompile, or disassemble the software, except to the extent permitted by law;
  • copy, reproduce, or commercially exploit the Service without our authorization;
  • use the Service to monitor, harass, or track another person without lawful authorization; or
  • use location features for any purpose other than the purpose for which they are provided.

7. Location and Estimated Arrival Times

Certain Kouloo features use location information to provide estimated arrival times and facilitate pickup coordination.

Using these features requires the applicable feature to be enabled and the required location permission to be granted on your device.

Arrival estimates may be affected by various factors, including:

  • traffic conditions;
  • road construction;
  • weather conditions;
  • mapping data;
  • selected transportation mode;
  • availability and accuracy of location data; and
  • other factors outside our reasonable control.

Arrival times provided by Kouloo are estimates and are not guaranteed arrival times.

You remain responsible for your travel and must always use your own judgment and comply with applicable traffic and safety laws.

Disabling location services may prevent certain features from functioning properly.

8. Notifications and Coordination with the Childcare Service

Kouloo may send notifications to users and, depending on the features being used, provide certain operational information to the applicable childcare service.

These notifications may include an indication that a user is approaching a designated preparation or pickup area.

Notifications may depend on:

  • network availability;
  • device settings;
  • permissions granted by the user;
  • availability of location services;
  • third-party notification systems; and
  • the operation of the Service.

We do not guarantee that a notification will be received immediately or under all circumstances.

Kouloo is a coordination tool and does not replace the childcare service’s safety, supervision, or child-release procedures.

9. Children’s Information

You must be legally authorized to provide information about a child that you add to Kouloo.

By adding a child to the Service, you represent that you have the necessary authority or authorization to provide the information and use the associated features.

You must not provide information about a child if you do not have the legal right or authorization to do so.

Information concerning children is handled in accordance with our Privacy & Cookies Policy.

10. Subscriptions and Paid Services

Where Kouloo offers paid features or subscriptions, the applicable price, duration, included features, and payment terms will be presented before you confirm your purchase.

Unless otherwise stated at the time of purchase:

  • applicable fees are those displayed at the time of subscription;
  • subscriptions do not automatically renew;
  • applicable taxes may be added to the displayed price; and
  • fees must be paid according to the payment terms presented at the time of purchase.

Refunds

Refund requests are handled in accordance with the terms presented at the time of purchase and applicable laws.

When a purchase is made through an application store or third-party platform, that platform’s refund policies may also apply.

We do not guarantee a refund where no refund right is provided by applicable law, the purchase terms, or the applicable platform’s policies.

11. Suspension and Termination

You may stop using Kouloo at any time and, where the functionality is available, request that your account be closed.

We may suspend or terminate an account or restrict access to the Service where reasonably necessary, including in cases of:

  • violation of these Terms;
  • fraudulent or abusive use;
  • a security risk to the Service or users;
  • unlawful use of the Service;
  • non-payment of amounts owed, where applicable; or
  • a legal or regulatory requirement.

Where reasonably possible and appropriate, we will notify you before suspending or terminating your account.

We may take immediate action where a situation presents a risk to the security, privacy, integrity of the Service, or the individuals concerned.

Closing or terminating an account does not automatically terminate obligations that, by their nature, are intended to survive termination.

The retention and deletion of Personal Information following account closure are governed by our Privacy & Cookies Policy.

12. Intellectual Property

The Service, including:

  • the software;
  • the application;
  • the website;
  • text;
  • interfaces;
  • graphics;
  • logos;
  • trademarks;
  • icons;
  • databases;
  • visual elements; and
  • other content provided by Kouloo,

are owned by Nuxovia Solutions Inc. or its licensors and are protected by applicable intellectual property laws.

These Terms do not grant you any ownership rights in these materials.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to use the Service for personal and lawful purposes.

Any unauthorized reproduction, modification, distribution, sale, or commercial exploitation of the Service or its content is prohibited.

13. User-Provided Content

Certain features may allow users to upload or provide content, including profile photos or other profile information (“User Content”).

You retain ownership of your User Content.

By providing User Content to Kouloo, you grant us a limited, non-exclusive, worldwide license solely to the extent necessary to host, store, process, display, and use that content to provide, secure, and improve the features of the Service.

You represent and warrant that:

  • you have the necessary rights to provide the content;
  • you have obtained any required permissions concerning individuals appearing in a photo;
  • the content does not violate the rights of others; and
  • the content does not violate applicable laws.

We may remove or restrict access to content that we reasonably believe violates these Terms or applicable laws.

Personal Information remains subject to our Privacy & Cookies Policy.

14. Third-Party Services and Technologies

Certain Kouloo features may depend on third-party services, platforms, maps, location systems, notification services, or other technologies provided by third parties.

These services may be subject to their own terms and policies.

We do not control third-party services and are not responsible for interruptions, errors, or changes that are exclusively attributable to those providers.

Where use of a third-party service is necessary for a feature to operate, availability of that feature may depend on the third-party provider.

15. Service Availability and Changes

We make reasonable efforts to keep the Service available and operational.

However, we do not guarantee that the Service will:

  • be continuously available;
  • be error-free;
  • operate without interruption;
  • function on every device;
  • be compatible with every operating system version; or
  • be available in every location or at all times.

We may modify, temporarily suspend, or permanently discontinue certain features of the Service, including for maintenance, security, improvement, or legal compliance purposes.

Where reasonably possible, we will provide notice of significant changes that materially affect the Service.

16. Electronic Communications

By using Kouloo, you agree to receive communications necessary for the operation of the Service, including:

  • operational notifications;
  • account-related notices;
  • security communications;
  • subscription-related information, where applicable; and
  • important notices concerning these Terms or the Service.

Where promotional communications are used, they will comply with applicable laws and may be unsubscribed from where required by law.

17. Accuracy of Information

You are responsible for the accuracy of the information you provide to Kouloo.

You must update important information when it changes, including information relating to your account, your child, or individuals authorized to pick up a child, where these features are available.

We are not responsible for consequences resulting from inaccurate or outdated information provided by a user.

18. No Guarantee Regarding Travel or Pickup

Kouloo is a coordination and information tool.

We do not guarantee:

  • the exact arrival time of a user;
  • the absolute accuracy of a route or arrival estimate;
  • the continuous availability of traffic information;
  • the immediate receipt of a notification;
  • that a childcare service will be ready at a specific time;
  • that a child will be released to a particular person; or
  • that a pickup situation will occur exactly as planned.

Parents, guardians, authorized individuals, and childcare services remain responsible for their own procedures, decisions, and safety obligations.

19. Limitation of Liability

To the extent permitted by applicable law, Kouloo will not be responsible for losses or damages arising directly or indirectly from:

  • an interruption of the Service;
  • an error or inaccuracy in an arrival estimate;
  • a failure of a third-party location, mapping, or notification service;
  • inaccurate information provided by a user;
  • the use or inability to use the Service;
  • unauthorized access resulting from a user’s failure to protect their credentials; or
  • events outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

20. Force Majeure

Kouloo will not be responsible for delays or interruptions resulting from events reasonably beyond our control, including:

  • significant telecommunications failures;
  • Internet service interruptions;
  • failures of third-party providers;
  • natural disasters;
  • fires;
  • floods;
  • significant weather events;
  • labour disputes;
  • government actions;
  • cyberattacks or security incidents despite the implementation of reasonable safeguards; or
  • other events of force majeure.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Nuxovia Solutions Inc., its officers, directors, employees, and agents from claims, losses, damages, liabilities, or reasonable expenses arising directly from:

  • your violation of these Terms;
  • your unlawful or abusive use of the Service;
  • your User Content violating the rights of a third party; or
  • your violation of applicable laws.

This provision does not apply to the extent that a claim results from Kouloo’s own fault or from liability that cannot legally be transferred to the user.

22. Privacy

Kouloo handles Personal Information in accordance with applicable privacy laws, including applicable Québec legislation.

Our Privacy & Cookies Policy explains, among other things:

  • the information we collect;
  • why we collect it;
  • how location information is used;
  • our use of cookies and SDKs;
  • third-party service providers;
  • retention periods;
  • security measures; and
  • your rights concerning your Personal Information.

23. Changes to These Terms

We may modify these Terms when necessary, including to reflect changes to the Service, technological changes, legislative or regulatory changes, or new features.

The last-updated date will appear at the beginning of these Terms.

When we make a material change, we will take reasonable steps to notify you, including through the application, website, or email where appropriate.

Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the modified Terms, subject to any rights provided to you under applicable law.

If you do not agree to a material change, you must stop using the Service and, where applicable, close your account.

24. Governing Law and Jurisdiction

These Terms are governed by the laws applicable in the Province of Québec and the federal laws of Canada applicable therein.

Subject to mandatory rules applicable to consumer protection or other applicable laws, any dispute relating to these Terms or the Service will be submitted to the competent courts of Québec.

Nothing in these Terms is intended to deprive you of any right or remedy to which you are legally entitled.

25. Severability

If any provision of these Terms is determined by a competent authority to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where possible.

The remaining provisions will remain in full force and effect.

26. Waiver

Our failure to exercise or enforce any right under these Terms does not constitute a waiver of that right.

Any waiver must comply with applicable legal requirements.

27. Entire Agreement

These Terms, together with the documents expressly incorporated by reference, constitute the agreement between you and Kouloo concerning your use of the Service, subject to rights and obligations provided by applicable law.

They replace prior versions of the terms and conditions governing the Service, unless otherwise stated.
